1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and DialHub, LLC ("DialHub," "we," "our," or "us"), a company incorporated in the State of Florida with its principal office in Miami, FL.
By creating an account, subscribing to any DialHub plan, accessing our platform, or using any feature of our Services, you ("Customer," "User," or "you") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.
If you do not agree to these Terms, you must not use the Services.
2. Description of Services
DialHub provides cloud-based unified communication services ("Services"), which may include:
- Voice over IP (VoIP) calling, Cloud PBX, and phone number provisioning
- Video conferencing and screen sharing
- Business SMS and MMS messaging
- AI-powered features including call transcription, sentiment analysis, and auto-summaries
- Unified messaging and team collaboration tools
- Contact center routing and management features
- Developer APIs and integrations
The specific features available to you depend on the subscription plan you have selected. We reserve the right to modify, add, or discontinue features at any time, provided that we give reasonable advance notice for material changes to paid plans.
DialHub is a B2B communications platform. The Services are intended for business use only and are not designed for consumer personal communication.
3. Accounts & Registration
Account Responsibility
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify DialHub immediately at support@dialhub.app if you suspect any unauthorized access to your account.
Accurate Information
You represent that all registration information you provide is truthful, accurate, current, and complete, and that you will maintain and promptly update such information as necessary.
Minimum Age
The Services are not directed to individuals under the age of 18. By registering, you confirm that you are at least 18 years of age and, if acting on behalf of a business, that the business is legally authorized to operate.
One Account per Entity
Each legal entity may maintain one primary account. Creation of duplicate accounts to circumvent usage limits, billing, or suspension is prohibited and may result in immediate termination.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in compliance with all applicable federal, state, and local laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, HIPAA where applicable, and applicable international telecommunications regulations.
Prohibited Activities
You must not use the Services to:
- Make unsolicited automated calls (robocalls), send spam SMS, or conduct auto-dialing to wireless numbers without prior express written consent
- Transmit unlawful, harassing, threatening, abusive, defamatory, obscene, or fraudulent content
- Impersonate any person or entity, or falsify caller ID information in violation of applicable law
- Conduct toll fraud, dial-around schemes, or any activity intended to exploit carrier infrastructure
- Distribute malware, phishing content, or any code designed to disrupt or damage systems
- Attempt to gain unauthorized access to any DialHub system, customer account, or third-party service
- Use the Services in a manner that generates excessive load, threatens platform stability, or degrades service quality for other customers
- Resell or sublicense DialHub Services to third parties without a written reseller agreement
- Use the Services in countries or territories subject to U.S. export controls or economic sanctions without applicable licenses
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.
5. Billing & Payment
Subscription Fees
Subscription fees are billed in advance on a monthly or annual basis depending on the plan selected. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
Usage-Based Charges
Some features — such as international calling, toll-free number minutes, SMS segments, and certain API calls — are billed based on actual consumption. Usage charges are calculated monthly and applied to your account in arrears.
Payment Method
By providing a payment method, you authorize DialHub to charge all amounts due, including recurring subscription fees and usage charges. If a payment fails, we will retry up to three times over 5 business days. Continued payment failure may result in service suspension.
Taxes
You are responsible for all taxes, levies, and regulatory fees assessed on the Services, except for taxes based on DialHub's net income. Where required by law, DialHub will collect and remit applicable taxes.
Refunds
Annual subscriptions paid upfront are eligible for a prorated refund within the first 30 days if you cancel. Monthly subscriptions are not refundable. Usage charges are non-refundable except where DialHub determines a billing error has occurred.
Price Changes
We may change subscription pricing with 30 days' written notice. Continued use of the Services after the effective date of a price change constitutes acceptance of the new pricing.
6. Cancellation & Termination
Cancellation by You
You may cancel your subscription at any time through the account management portal or by contacting our support team. Cancellation takes effect at the end of your current billing period; you will retain access to the Services until that date.
Termination by DialHub
We reserve the right to suspend or terminate your account with or without notice for: • Violation of these Terms or our Acceptable Use Policy • Non-payment of fees following reasonable collection attempts • Fraudulent or illegal activity conducted through the Services • Requests from law enforcement or regulatory agencies • Technical or security reasons that require urgent action
Effect of Termination
Upon termination, your right to use the Services immediately ceases. Number porting requests must be initiated prior to account closure. DialHub is not responsible for loss of data after the 90-day post-closure retention window described in our Privacy Policy.
Suspension vs. Termination
We may suspend your account rather than terminate it to investigate suspected violations or payment issues. During suspension, inbound calls may be redirected to a message informing callers the number is temporarily unavailable.
7. Intellectual Property
DialHub Property
All rights, title, and interest in and to the Services — including all software, documentation, designs, trademarks, trade names, and proprietary algorithms — are and remain the exclusive property of DialHub, LLC and its licensors. Nothing in these Terms transfers any intellectual property rights to you.
Your Content
You retain full ownership of all data, recordings, messages, configurations, and other content you submit to or generate through the Services ("Customer Content"). By using the Services, you grant DialHub a limited, non-exclusive, royalty-free license to access and process Customer Content solely to the extent necessary to deliver and support the Services.
Feedback
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant DialHub an irrevocable, perpetual, royalty-free license to use, incorporate, and commercialize that Feedback without obligation to you.
Restrictions
You may not copy, modify, reverse engineer, decompile, disassemble, sublicense, or create derivative works based on any part of the Services. You may not remove or obscure any proprietary notices or markings on the Services.
8. Confidentiality
Each party may receive confidential information belonging to the other party during the course of the relationship. "Confidential Information" means any non-public information marked or reasonably understood to be confidential, including technical data, business plans, pricing, and customer data.
Each party agrees to: (a) protect the other's Confidential Information with the same degree of care it uses for its own, but in no event less than reasonable care; (b) not disclose Confidential Information to third parties without prior written consent; and (c) use Confidential Information only as needed to fulfill obligations under these Terms.
Obligations do not apply to information that: (a) is or becomes publicly available through no breach by the receiving party; (b) was known to the receiving party before disclosure; (c) is independently developed without reference to the Confidential Information; or (d) must be disclosed by law or court order, provided the disclosing party is given prompt prior written notice.
9. Disclaimers & Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
DIALHUB EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
DIALHUB DOES NOT WARRANT THAT: (A) THE SERVICES WILL MEET ALL OF YOUR REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY ERRORS OR DEFECTS WILL BE CORRECTED; OR (D) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Emergency Calling Notice: DialHub is not a traditional telephone service. Emergency calling (911) functionality may be limited, unavailable, or inaccurate depending on your account configuration and physical location. You are solely responsible for ensuring alternative emergency calling mechanisms are available at your location.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT SHALL DIALHUB, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF DIALHUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
DIALHUB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO DIALHUB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.
11. Indemnification
You agree to defend, indemnify, and hold harmless DialHub, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of, or inability to use, the Services
- Your violation of these Terms or any applicable law
- Any content you transmit through the Services, including Customer Content
- Your infringement of any third-party intellectual property, privacy, or other right
- Your violation of the Acceptable Use Policy
DialHub reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you.
12. Governing Law & Dispute Resolution
Governing Law
These Terms and any dispute arising hereunder shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. You consent to personal jurisdiction in the state and federal courts located in Miami-Dade County, Florida.
Informal Resolution
Before initiating any legal proceeding, both parties agree to attempt in good faith to resolve disputes informally by contacting legal@dialhub.app with a written description of the dispute. If the dispute is not resolved within 30 days, either party may pursue formal legal remedies.
Class Action Waiver
To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against DialHub. All disputes must be resolved on an individual basis.
Statute of Limitations
Any claim arising under these Terms must be brought within one (1) year of the date the cause of action arose, regardless of any statute or law to the contrary.
13. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Form or Service Level Agreement, constitute the entire agreement between you and DialHub regarding the Services and supersede all prior negotiations, representations, or agreements.
Modifications: DialHub may update these Terms from time to time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use of the Services after that date constitutes acceptance.
Severability: If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver: Failure by either party to enforce any provision of these Terms shall not constitute a waiver of future enforcement of that or any other provision.
Assignment: You may not assign or transfer your rights or obligations under these Terms without DialHub's prior written consent. DialHub may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, government actions, telecommunications outages, or third-party service failures.
